Job Description
Position Summary
  • Looking for a candidate to join a vibrant and entrepreneurial corporate reorganization practice in a position that will focus on all aspects of the representations of debtors and major creditors in both in-court and out-of-court- restructurings, distressed lending and asset acquisitions, and bankruptcy litigation. 
  • The candidate will join a Chambers-rated bankruptcy and corporate reorganization practice with six partners based in New York and approximately 40 other attorneys across the firm’s five other offices.
  • Candidates must have top academic credentials and a stellar law firm employment history (limited changes since graduation).

Principal Duties and Responsibilities:
  • Represent corporate debtors, lenders, financial intuitions, creditors, and other entities, in a wide range of restructuring transactions, including cross-border, as well as in bankruptcy related litigations and other special representations.  Restructuring transactions include out of court restructurings, prepacked and prearranged chapter 11 filings, traditional chapter 11 filings, 363 asset purchases, and other distressed lending transactions across a variety of industries.
  • Draft and negotiate core restructuring documents including forbearance agreements, restructuring/plan/transaction support agreements, chapter 11 petitions, first day motions and filings, debtor in possession financing documents, cash collateral documents, plans of reorganization, disclosure statements and exhibits, solicitation materials, investigatory reports, bidding procedures, and assets purchase agreements.  
  • Draft bankruptcy litigation documents including, complaints, answers, discovery devices, procedural motions, and related filings.
  • Communicate and correspond with colleagues, clients, and other counsel. 
  • Must have ability to perform legal research primarily in bankruptcy-related contexts; ability to use library reference materials and/or electronic resource tools; ability to establish and maintain effective working relations with others; ability to communicate effectively in English orally and in writing; ability to organize and prioritize workload; ability to understand and follow written and oral directions; knowledge of Microsoft Office, Outlook, WORD, Excel, and Adobe Acrobat.

Education:
  • JD degree; Bachelor’s degree; Must be admitted to practice law in the State of New York. 

Experience:
  • Full time Bankruptcy and Corporate Reorganization experience including representing major chapter 11 debtors, significant financial creditors, buyers in 363 purchasers.
  • Prior experience drafting forbearance agreements, restructuring/plan/transaction support agreements, chapter 11 petitions, first day motions and filings, debtor in possession financing documents, cash collateral documents, plans of reorganization, disclosure statements and exhibits, solicitation materials, investigatory reports, bidding procedures, and assets purchase agreements.
